Terms of Service

These Terms of Service ("Terms") govern your use of IT services provided by Pexlo, Inc. ("Pexlo," "we," "us," or "our"). By engaging our services, you agree to these Terms.
1. Services
Pexlo provides managed IT services including:
- 24/7 infrastructure monitoring and management
- Helpdesk and technical support
- Cybersecurity (threat detection, endpoint protection, incident response)
- Cloud migration and management
- Network design and optimization
- Backup and disaster recovery
- Device and software management
2. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account.
3. Service Plans & Billing
- Services are billed per user per month or via custom contracts
- Payment processed securely through Stripe
- Subscriptions renew automatically unless cancelled with 30 days notice
- Price changes communicated 30 days in advance
- Past-due accounts may result in service suspension after 15 days notice
4. Service Level Agreement
- Uptime: 99.9% for managed infrastructure
- Response Time: Critical issues — 15 minutes; High — 1 hour; Medium — 4 hours; Low — next business day
- Credits: Service credits issued for SLA breaches at Pexlo's discretion
5. Client Responsibilities
- Provide timely access to systems and environments as needed
- Notify Pexlo of infrastructure changes that may affect services
- Maintain current contact information for escalation
- Not interfere with monitoring agents or security tools installed by Pexlo
6. Data & Confidentiality
We treat all client data and IT environment details as confidential. We will not disclose your information to third parties except as required to deliver services or comply with law.
You retain ownership of all your data. Upon termination, we will provide a data export and securely delete all client data within 30 days.
7. Acceptable Use
You agree NOT to:
- Use our services for unlawful purposes
- Attempt to circumvent security measures we implement
- Share credentials for managed services without authorization
- Use our infrastructure to attack, scan, or probe third-party systems
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Services provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, special, or consequential damages
- Total liability shall not exceed fees paid in the 12 months preceding the claim
- We are not responsible for data loss caused by client actions or third-party attacks despite reasonable security measures
9. Indemnification
You agree to indemnify and hold Pexlo harmless from claims arising from your use of our services or violation of these Terms.
10. Termination
By Either Party
Either party may terminate with 30 days written notice.
Immediate Termination
We may terminate immediately for non-payment, Terms violations, or illegal activity.
Effect
- Transition assistance available for 30 days after termination
- Data export provided within 30 days
- All client data securely deleted after export period
11. Dispute Resolution
Governing Law: State of New York.
Arbitration: Binding arbitration in New York, NY under AAA rules.
12. Changes to Terms
Material changes communicated 30 days in advance. Continued use constitutes acceptance.
